Welcome to Yarra Bee Company. These Terms of Service ("Terms") govern your access to and use of the website at yarrabeeco.com (the "Site") and your purchase of products from us.
About us. Yarra Bee Company is a trading name of Borough Online Pty Ltd, an Australian proprietary limited company (ABN 65 622 451 405). References in these Terms to "Yarra Bee Company," "we," "us," or "our" mean Borough Online Pty Ltd trading as Yarra Bee Company. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Eligibility
You must be at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract. If you use the Site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Changes to these Terms
We may modify, update, or discontinue any part of the Site or these Terms at any time. Changes will be effective when posted to this page, and the Effective Date above will be updated accordingly. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
3. Products and orders
We sell beekeeping supplies and related products. We make reasonable efforts to ensure that product descriptions, images, specifications, and prices on the Site are accurate, but we do not warrant that they are error-free, complete, or current.
All orders are offers to purchase and are subject to acceptance by us. We reserve the right to limit quantities, refuse or cancel any order, or refuse service to anyone, at our sole discretion, including in cases of suspected fraud, pricing or inventory errors, or where we cannot verify the information you provide.
4. Pricing and payment
All prices are listed in United States Dollars (USD) and are exclusive of any applicable sales tax, which will be added at checkout based on your shipping address. Prices are subject to change without notice.
Payment is due at the time of purchase. We accept the payment methods displayed at checkout. By providing payment information, you represent that you are authorised to use the selected payment method and you authorise us to charge the total amount of your order.
If we identify a pricing or description error after an order is placed, we will contact you and offer you the choice of confirming the order at the corrected price or cancelling it for a full refund.
5. Shipping and delivery
Orders are shipped from our US fulfillment center in Texas. Specific shipping options, costs, and estimated delivery times are set out in our Shipping Policy, which forms part of these Terms. Delivery dates are estimates only; we are not liable for delays caused by shipping carriers, weather, customs, or other events outside our reasonable control. Risk of loss passes to you on delivery to the carrier.
6. Returns and refunds
Returns and refunds are governed by our Refund Policy, which forms part of these Terms. Please review it before placing an order.
7. Warranties
Unless we expressly provide a written warranty for a specific product, all products are sold on an "as is" basis. To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms limits or excludes any consumer rights or guarantees that cannot lawfully be excluded under applicable law, including non-excludable rights under the US Magnuson-Moss Warranty Act or, for Australian customers, the Australian Consumer Law.
8. Product use and safety
Beekeeping equipment and related products are used at your own risk. You are responsible for using products safely, following any manufacturer instructions, and complying with all local, state, and federal laws relating to beekeeping and the keeping of livestock. We are not responsible for injury, property damage, or loss resulting from the misuse, improper assembly, or inappropriate use of any product sold through the Site.
9. Intellectual property
All content on the Site — including text, images, graphics, logos, product descriptions, and software — is owned by Borough Online Pty Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent, except as permitted by applicable law or explicitly allowed on the Site.
"Yarra Bee Company" and any associated logos are trademarks of Borough Online Pty Ltd.
10. User accounts
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate, current information and to update it as needed. Notify us immediately of any unauthorised account access. We may suspend or terminate accounts at our discretion, including for breach of these Terms.
11. User-generated content
If you submit reviews, photos, comments, or other content ("User Content"), you grant us a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in any media in connection with the Site and our business.
You represent that you own or have the necessary rights to submit the User Content and that it does not infringe any third party's rights or violate any law. We may remove User Content at any time at our discretion.
12. Acceptable use
You agree not to use the Site to: violate any law or regulation; infringe any intellectual property or other rights; transmit viruses or malicious code; interfere with the Site's operation or security; scrape, harvest, or extract data except as expressly permitted; or use the Site for any fraudulent or harmful purpose.
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which forms part of these Terms and describes how we collect, use, and protect personal information.
14. Disclaimers
The Site and all products are provided on an "as is" and "as available" basis, without warranties of any kind except as expressly set out in these Terms or required by applicable law. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.
15. Limitation of liability
To the maximum extent permitted by law, in no event will Borough Online Pty Ltd, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of the Site or any product purchased, even if advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site will not exceed the amount you paid to us in the six (6) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits any liability that cannot lawfully be limited, including for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Borough Online Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your User Content, your use of the Site, or your violation of any law or third-party right.
17. Governing law and disputes
These Terms and any dispute arising out of or related to them or your use of the Site are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas for the resolution of any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If you are a consumer resident in a jurisdiction that grants you non-waivable protections, nothing in these Terms deprives you of those protections.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced by an enforceable provision that most closely reflects the original intent.
19. Entire agreement
These Terms, together with our Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements or understandings.
